Statement of Work: Subscription for Store Maintenance

1. Master Services Agreement

This is a Statement of Work (“SOW”) for this Service, and is subject to the terms and conditions of the Saucal Terms of Service. Capitalized terms used and not defined in this Statement of Work have the meanings given to them in the Terms of Service. As noted in the Terms of Service, this SOW and the Terms of Service together comprise a legally binding agreement between us. When You purchase this Service from us You agree to the Terms of Service and this SOW. The term of this SOW shall continue until the Services described in it have been completed, or it is terminated in accordance with the Agreement.

2. Overview of Service

We will assist You to keep Your WooCommerce store website (and its components) regularly updated, thus maximizing stability and security.

We shall provide one or more of the following services, according to priorities agreed with You:

  • Check Your website every month, analyze the versions of the WordPress core, the themes, and the plugins, and determine whether anything needs updating.
  • Update the WordPress core, the themes, and the plugins to their latest available versions, unless (at our sole discretion) there are usability, technical, or security reasons not to (in which case we will provide You with an explanation of why the update is not possible or desirable).
  • Fix permissions-related issues.
  • Conduct unit testing for high-priority plugins (if and as discussed).
  • Test all changes on a staging environment (if and as discussed).

If You engage us to do store maintenance under this SOW, then You acknowledge that:

  1. From time-to-time, WordPress, WooCommerce and other software platforms release a new major revision that necessitates major changes to websites that use it. Usually these major revisions bring significant benefits (such as improved security). It’s possible that a major revision would require more time per month than this agreement provides for. We will attempt to notify You of major revisions and provide an estimate of the work required to upgrade.
  2. Problems or other issues with your website that are (at our sole discretion) unrelated to updates of the WordPress core, the themes, and the plugins are not covered by this Service. If they arise and You want us to address them, then You shall purchase either Software Development Hours or a Software Development Project.

3. Monthly Fee

You will be charged the price set forth for this Service in the checkout step of the purchasing process, per month, plus applicable sales and excise taxes, including HST. If You are purchasing this Service bundled with other Saucal services then You might be eligible for a discounted price as advertised on the Saucal website.

4. Service Window

If there is a specific time during the month when You’d like us to schedule upgrades (or not) then please let us know so that we can attempt to accommodate Your schedule.

5. Service Warranty

We shall use reasonable (at our sole discretion) efforts, at no extra cost to you, to resolve any minor issues that crop up within 5 (five) business days of each delivery. This clause shall not apply to issues caused by updating plugins, themes, or the WordPress core after delivery.

6. Non-Refundable

All payments are non-refundable.
