Master Services Agreement

This Statement of Work (“SOW”) is subject to the terms and conditions of the SAU/CAL Terms of Service. As noted in the Terms of Service, this SOW and the Terms of Service together comprise a legally binding agreement between us. When you purchase this Service from us you accept the terms of the Terms of Service and of this SOW.

Overview of Services Under This SOW

All WordPress websites require routine updates to maximize stability and security. This agreement will help ensure that Your business runs smoothly by ensuring Your website (and its components) stay up-to-date.

Under the terms of this SOW, Saucal will make available its developers and other technical staff on a monthly basis for regular WordPress maintenance.

What We’ll Do For You

Saucal will check Your website every month. We will analyse Your current plugins and WordPress core version to determine whether anything needs upgrading. If a system needs upgrading we’ll execute the upgrades or provide You with a written explanation for why that’s not possible or desirable (from a usability, technical or security standpoint).

Major Revisions To Your Software

From time-to-time, WordPress, WooCommerce and other software platforms release a new major revision that necessitates major changes to websites that use it. Usually these major revisions bring significant benefits (such as improved security). It’s possible that a major revision would require more time per month then this agreement provides for. We will attempt to notify You of major revisions and provide an estimate of the work required to upgrade.

Monthly Fee

You will be charged the price set forth on the Service description page per month.

Emergency Rate

If You have an emergency plugin or WordPress core update situation that requires urgent attention then we shall charge You the rate per hour set forth on the Service description page, billed in fifteen minute increments. You will be given the choice (and not billed without prior approval) if You would like to pay the emergency rate or have Your work processed in the usual manner.

Service Window

If there is a specific time during the month when You’d like us to schedule upgrades (or not) then please let us know so that we can attempt to accommodate Your schedule.

Services To Be Provided

Saucal shall provide the following services, within Your budget where possible, according to the priorities that You establish:

  • Theme & plugin updates
  • WordPress Core updates
  • Permissions fixes
  • Unit testing for high priority plugins (if and as discussed)
  • Testing updates on staging server (if and as discussed)

Statement of Work: Subscription for On-Demand Hours

1. Our Agreement

This Statement of Work (“SOW”) is subject to the terms and conditions of the SAU/CAL Terms of Service. As noted in the Terms of Service, this SOW and the Terms of Service together comprise a legally binding agreement between us. When you purchase this Service from us you accept the terms of the Terms of Service and of this SOW.

2. Overview of the Services That We May Provide Under this SOW

Under this SOW SAU/CAL will provide the SAU/CAL Services and Deliverables that you and we agree to include under this SOW on an “on-demand” basis. 

Our Services under this SOW may include any kind of work related to software development, including work related to ongoing support of your software. Either prior to, or at the beginning of our mandate for you, we will discuss with you what those Services and Deliverables should be.

For software development work, we will work with you at the beginning of the mandate to establish a development process to give you greater control over the direction of your projects and budgets, and to ensure that you have the opportunity to periodically review the work, the usage of your purchased hours, and sign off on the scheduled work for any additional hours that you purchase, ensuring no surprises down the line and better launch readiness. You will also have the opportunity to pivot as needed since this process allows for iteration and inspiration.

3. Hours of Reserved Service; Subscription Fee; No rollover to or Draws from Future Months; Renewal; Cancellation

Every month of your subscription you will be provided with access to SAU/CAL staff on a reserved basis for the hours of work you purchase in your subscription – SAU/CAL’s developers (and other staff or contractors as appropriate) shall complete for you up to the number of hours of work that you purchase.

You will be charged the price set forth on the Service description page based on the number of hours of reserved service per month in your subscription. Subscriptions for hours of on-demand service are subject to a monthly minimum of 20 hours.

Hours not used in a month do not roll over into a later month, and you may not draw from hours available in a future month. If you exceed your subscription’s allotted hours for a particular month you can purchase more for that month at the same hourly rate, subject to availability.  You may also at any time increase the level of your subscription for the current month and future months.

This SOW is for a monthly subscription service and therefore automatically renews for another month, upon the same terms, on the same date of the month as your original purchase (subject to February dating), unless you cancel your subscription on our website before the renewal date. 

You may cancel your subscription at any time on our website but fees paid for hours that are not fully used within your subscription period are not refundable.

4. Software Development – Expected Deliverables

If you engage us to do software development under this SOW, then you acknowledge that client-directed changes or unexpected technical challenges as discovered through the development process may ultimately mean that the Deliverables at the end of the work will be different than those we originally discuss with you. Expected Deliverables are an estimate. You are purchasing development services, and are not purchasing a product with a predefined set of specifications. 

5. Software Development – Estimated Number of Hours

If you engage us to do software development under this SOW, and we have estimated the number of hours that will be required to deliver the Deliverables, that estimate will be formally communicated to you. Ultimately however the number of hours required and exact Deliverables will be determined by you – this is a SOW for delivery of services on a time and materials basis.

6. Post-Delivery Warranty

If the work that we perform for you includes providing you with a completed software Deliverable, we shall use reasonable (in our sole discretion) efforts, at no extra cost to you, to resolve any bugs, server configuration issues, or other minor issues that crop up within 15 days of delivery. This clause shall not apply if the Deliverable is changed by anyone other than SAU/CAL.

7. Turnaround Time

When you request work you can be confident that we will perform the work promptly, unless we inform you that the work is too substantial to be performed within our usually prompt response time. We encourage you to schedule tasks with SAU/CAL in advance to ensure that tasks are completed in a timely manner. Where appropriate (or requested by you) SAU/CAL shall provide you with an estimated completion time for your tasks.

8. Emergency Rate

If you request work from us that must be completed on an urgent basis and that meets one of the following criteria:

  1. Weekends or statutory holidays (legally-mandated Federal holidays or Alberta holidays)
  2. After 5pm EST (as requested by you)
  3. Requested to be completed within 24 hours of the time the request is received (e.g. “immediately”),

then our Emergency Rate shall apply.  Our “Emergency Rate” is billed at the rate of 1.5 billed hours per actual hour, and shall be billed in fifteen minute increments (ie any part of 15 minutes is billed as fifteen minutes).

Due to the urgent and unscheduled nature of emergencies, it is possible that SAU/CAL may not be able to appropriately staff your emergency. SAU/CAL takes emergency requests seriously and is often able to fulfill them (at the rate quoted above). If SAU/CAL cannot fulfill your request then it will inform you and you will be charged the standard rate. 

10. Versioning

Note that all Deliverables shall be aimed at the current version of Your website platform (e.g. WordPress) and applicable plugins, as of the day that work begins that interacts with that component of the system. If an important update becomes available during the development process then it is possible that this could create delays and/or additional work (outside of the estimate).

1. Our Agreement

This Statement of Work (“SOW”) is subject to the terms and conditions of the SAU/CAL Terms of Service. As noted in the Terms of Service, this SOW and the Terms of Service together comprise a legally binding agreement between us. When you purchase this Service from us you accept the terms of the Terms of Service and of this SOW.

2. Overview of Services Under This SOW

Sprint-based pricing is a transparent billing process where SAU/CAL bills weekly for what is done in the last seven days, giving You greater control over the direction of Your projects and budgets. You will have the opportunity at the end of each week of work (“Sprints”) to review the work and sign off on the scheduled work for the upcoming week, ensuring no surprises down the line and better launch readiness. You will also have the opportunity to pivot as needed since Sprints allow for iteration and inspiration. 

3. Weekly Fee

You will be charged the price set forth on the Service description page per week.

4. Expected Deliverables

The parties expect that at the end of this SOW the Deliverables specified in Schedule 1 of this SOW shall be delivered to You. Client-directed changes or unexpected technical challenges as discovered through the development process may ultimately mean that the Deliverables at the end of the Sprints will be different than the Schedule 1 list. Expected Deliverables are an estimate. You are purchasing development services on a weekly basis, and are not purchasing a product with a predefined set of specifications.

5. Estimated Number of Sprints

If SAU/CAL has estimated the number of Sprints that will be required to deliver the Schedule 1 Deliverables, that estimate will be in the SAU/CAL Discovery Report. Ultimately however the number of Sprints required and exact Deliverables will be determined by You – this is an SOW for delivery of services on a time and materials basis.

6. Post-Delivery Warranty

Developer time shall be included, at no extra cost to You, at the end of the Sprints for any bug fixes, server configuration issues, or other minor issues that crop up post-delivery, within 15 days. This clause shall not apply to issues caused by updating plugins or WordPress core after delivery. The amount of developer time allocated under this clause shall be limited to 0.5 hours multiplied by the number of Sprints (e.g. 0.5 hours x 3 weeks, for a 3 Sprint project).

Note that all Deliverables shall be aimed at the current version of Your website platform (e.g. WordPress) and applicable plugins, as of the day that work begins that interacts with that component of the system. If an important update becomes available during the development process then it is possible that this could create delays and/or additional work (outside of the estimate).

Websites often require emergency support work that is beyond the scope of routine updates and basic maintenance. This agreement will help ensure that Your business runs smoothly by providing for emergency support work to be done by SAU/CAL’s skilled team of developers and technical staff.

This SOW is for work that You request to be completed on an urgent basis – ie it meets at least one of the following criteria:

  1. Weekends or statutory holidays (legally-mandated Federal holidays or Alberta holidays)
  2. After 5pm EST (as requested by You)
  3. Requested to be completed within 24 hours of the time the request is received (e.g. “immediately”)

Hours of Reserved Service

You will be provided with access to SAU/CAL staff on a reserved basis. SAU/CAL’s developers (and other staff or contractors as appropriate) shall complete up to 1 hours of emergency work for You under this SOW.

Hours are “bankable” but may not be carried forward more than twelve months, and are forfeited if You terminate this agreement for any reason or if we terminate for cause.

Service Fee

SAU/CAL’s “Emergency Rate” is set out on the Service description page.

Overview of Services Under This SOW

All WordPress and WooCommerce plugins and extensions require routine updates to maximize stability and security. This SOW will help ensure that Your business runs smoothly by ensuring Your covered plugins and extensions remain compatible with the current core versions of the WordPress, WooCommerce and PHP platforms, as those platforms are updated from time to time. Under the terms of this SOW, Saucal will make available its developers and other technical staff on a bi-monthly basis for routine WordPress, WooCommerce or PHP covered plugin and extension compatibility maintenance.

For clarity this service does not cover checking and fixing issues, bugs and/or errors not related to compatibility with updates of the WordPress, WooCommerce and PHP platforms, We’re it only addresses compatibility with the then current core versions of the WordPress, WooCommerce and PHP platforms, and we do not handle plugin or extension customer support or manage changes based on user feedback on publicly available feedback sites for plugins and extensions.

We will discuss with you which of your plugins and extensions are covered by this SOW before we work with them.

What We’ll Do For You

Saucal will check Your covered plugins and extensions bi-monthly. We will analyse Your covered plugins and extensions against the then current core versions of your WordPress, WooCommerce and PHP core installations to determine whether any plugins or extensions needs upgrading under the terms of this SOW. If so, we’ll execute the upgrades or provide You with a written explanation for why that’s not possible or desirable (from a usability, technical or security standpoint).

Major Revisions To Your Software

From time-to-time, WordPress, WooCommerce, PHP and other software platforms release major revisions that necessitate major changes to the plugins and extensions that work with them. Usually these major revisions bring significant benefits (such as improved security). This SOW is for routine plugin and extension maintenance only, so it’s possible that a major revision would require more time per month than this SOW provides for. We will attempt to notify You of major revisions to your WordPress, WooCommerce and PHP platforms and provide an estimate of the work required to upgrade.

Monthly Fee

You will be charged the price set forth on the Service description page per month.

Emergency Rate

If You have an emergency plugin or extension or WordPress, WooCommerce or PHP core update situation that requires urgent attention please see our emergency support plan service, described here https://my.saucal.com/product/emergency/.

Specifics of Services Under this SOW

Saucal shall provide the following services under this SOW:

  • Checks of compatibility with covered plugins and extensions with the then current core versions of the WordPress, WooCommerce or PHP platforms
    • It includes changing the “Tested up to” WordPress version in the WordPress plugins repository.
    • It includes changing the minimum “WordPress Versions” and “PHP Versions” when there’s the need to bump such versions.
  • Executing these WordPress, WooCommerce and PHP compatibility fixes
  • Testing updates on two different staging servers
    • First server will contain the minimum requirements needed for the covered plugin or extension to run. That includes WordPress, WooCommerce or PHP , as well as other needed covered plugins or extensions for the correct functionality of the plugin or extension (for example, WooCommerce Subscriptions for a payment gateway plugin that offers subscription compatibility).
    • Second and last server will contain the same plugins or extensions and structure as seen in the first server, with the difference of them all being updated to the latest version.
  • Unit testing (if and as discussed)
  • Deployment to WordPress.org or WooCommerce.com public repository

Statement of Work: Product Discovery

Master Services Agreement

This Statement of Work (“SOW”) is subject to the terms and conditions of the SAU/CAL Terms of Service. As noted in the Terms of Service, this SOW and the Terms of Service together comprise a legally binding agreement between us. When you purchase this Service from us you accept the terms of the Terms of Service and of this SOW.

Overview of Service

SAU/CAL will meet with You and develop a project plan for Your software product.

Free Initial Consultation

You will not be charged for the first 30 minutes of services provided by SAU/CAL. If the project plan requires longer than 30 minutes to develop then You will be charged SAU/CAL’s applicable fee, plus applicable sales and excise taxes, including HST (see next section titled “Post-Consultation Fees”).

Post-Consultation Fees

You will be charged the fee set forth on the Service description page for time spent developing Your project plan (beyond the 30 minutes as described above), plus applicable sales and excise taxes, including HST.

No Warranty

The advice that we give to You in our Product Discovery is our good faith assessment of what would be required to perform the work you ask us to evaluate for you. SAU/CAL makes no warranty or representation about such advice and assumes no responsibility to You for it.

Non-Refundable

SAU/CAL is a consultancy. All payments are non-refundable.

Client-directed changes or unexpected technical challenges as discovered through the development process may ultimately mean that the Deliverables at the end of the Sprints will be different than the Schedule 1 list. Expected Deliverables are an estimate. You are purchasing development services on a weekly basis, and are not purchasing a product with a predefined set of specifications.

5. Estimated Number of Sprints

If SAU/CAL has estimated the number of Sprints that will be required to deliver the Schedule 1 Deliverables, that estimate will be in the SAU/CAL Discovery Report. Ultimately however the number of Sprints required and exact Deliverables will be determined by You – this is an SOW for delivery of services on a time and materials basis.

6. Post-Delivery Warranty

Developer time shall be included, at no extra cost to You, at the end of the Sprints for any bug fixes, server configuration issues, or other minor issues that crop up post-delivery, within 15 days. This clause shall not apply to issues caused by updating plugins or WordPress core after delivery. The amount of developer time allocated under this clause shall be limited to 0.5 hours multiplied by the number of Sprints (e.g. 0.5 hours x 3 weeks, for a 3 Sprint project).

7. Versioning

Note that all Deliverables shall be aimed at the current version of Your website platform (e.g. WordPress) and applicable plugins, as of the day that work begins that interacts with that component of the system. If an important update becomes available during the development process then it is possible that this could create delays and/or additional work (outside of the estimate).
